Master Service Agreement
Santi IT Farm Policies & Commitments
This agreement outlines the terms, responsibilities, and legal commitments between Santi IT Farm and its clients to ensure a transparent professional relationship.
Service Scope
Santi IT Farm provides professional IT and digital services including but not limited to: UI/UX Design, Graphic Design, Video Editing, Digital Marketing, Web & Software Development, SaaS Product Development, CRM Solutions, HR Management Systems, and related IT services.Specific deliverables, timelines, and milestones will be defined in a separate Scope of Work (SOW).
Project Acceptance
A project is considered officially accepted once:
- ✅ Initial payment is received
- ✅ Scope of Work is approved in written form (email / contract / platform)
- ❌ Verbal agreements are not considered binding
Payment Terms
- All projects require advance payment (partial or full as agreed).
- Payments are non-refundable once the project has started.
- Payment delay from client side may result in project pause or suspension.
- No work will continue without confirmed payment.
No Refund Policy (Critical Clause)
Once a project has commenced, payments made are non-refundable under any circumstances, including but not limited to:
- Change of client decision
- Business loss
- Delay caused by client
- Market condition or internal client issues
Work time, resources, and expertise are billable and non-reversible.
Project Timeline & Delay Responsibility
Project timelines depend on: Timely feedback, Content delivery, and Approval from client.
If delay occurs due to late feedback, missing assets, or scope changes:
➡️ Santi IT Farm will not be held responsible for deadline extension.
Revision Policy
- Revisions are limited as per agreed Scope of Work.
- Any additional revision or change request will be charged separately.
- Major changes after approval are considered new work.
- Unlimited revisions are not supported.
Client Responsibilities
Client must:
- Provide accurate content, assets, and requirements
- Review and approve work within agreed time
- Maintain professional communication
Note: Delay or failure from client side may result in timeline extension or project suspension.
Intellectual Property & Ownership
Ownership of final deliverables transfers only after full payment.
Until payment is completed:
- All designs, code, assets remain property of Santi IT Farm
- Unauthorized use before payment is strictly prohibited
Confidentiality
Both parties agree to maintain confidentiality of:
⚠️ Violation may result in legal action.
Termination Policy
Santi IT Farm reserves the right to suspend or terminate a project if:
- Client violates terms
- Payment delay exceeds agreed time
- Abusive or unprofessional behavior occurs
No refund will be issued after termination.
Governing Law & Jurisdiction
This agreement shall be governed by the laws of Bangladesh. Any dispute shall be resolved under Bangladeshi jurisdiction.
